FarmFlow DE Terms of Use

These Terms of Use (“Terms”) govern access to and use of the FarmFlow DE online marketplace, website, services, and related features (collectively, the “Platform”).
FarmFlow DE is developed and operated by G's DElights LLC, a Delaware limited liability company (“FarmFlow DE,” “FarmFlow,” “we,” “us,” or “our”).
By creating an account, accessing the Platform, listing products, purchasing products, or otherwise using FarmFlow DE, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you may not use the Platform.
1. About FarmFlow DE
FarmFlow DE is an online business-to-business agricultural marketplace designed to connect farms and agricultural producers with restaurants, retailers, food manufacturers, institutions, nonprofits, processors, and other approved buyers.
FarmFlow DE provides technology that allows independent buyers and sellers to discover one another, communicate, list agricultural products, arrange transactions, and process payments.
Unless FarmFlow DE expressly identifies itself as the seller of a particular product, FarmFlow DE is not the buyer, seller, grower, producer, owner, warehouse, transporter, inspector, or distributor of products offered through the Platform.
The underlying transaction is between the applicable seller and buyer.
2. Pilot Marketplace
FarmFlow DE is currently operating as a limited pilot marketplace.
The purpose of the pilot is to evaluate marketplace demand, functionality, user experience, transaction activity, operational feasibility, and opportunities for future development.
Because this is a pilot, features may be added, modified, suspended, restricted, or removed as we learn from marketplace activity and participant feedback.
Participation in the pilot does not guarantee continued access to FarmFlow DE or any particular feature in future versions of the Platform.
3. Eligibility and Account Approval
You must be at least 18 years old and legally capable of entering into binding agreements to use FarmFlow DE.
FarmFlow DE may require users to provide information regarding their business, organization, farm, or intended use of the Platform.
Participation may be limited to approved users during the pilot.
FarmFlow DE reserves the right, to the extent permitted by law, to approve, deny, suspend, restrict, or terminate marketplace access when reasonably necessary to protect the Platform, its users, or the integrity of the pilot.
Users are responsible for maintaining accurate account information and safeguarding their login credentials.
You are responsible for activity conducted through your account unless caused by FarmFlow DE's own security failure.
4. Seller Responsibilities
Sellers are solely responsible for the agricultural products they list and sell through FarmFlow DE.
Each seller is responsible for:
- Accurately describing products, quantities, condition, pricing, harvest information, availability, and other material listing details.
- Having the legal right and authority to sell products listed through the Platform.
- Complying with applicable federal, state, and local laws and regulations.
- Maintaining any licenses, permits, registrations, certifications, or approvals required for their operations and products.
- Following applicable food safety, handling, sanitation, labeling, packaging, storage, and transportation requirements.
- Maintaining products under appropriate conditions before transfer to the buyer.
- Communicating material product conditions or limitations to buyers.
- Fulfilling accepted transactions as represented.
- Providing accurate information regarding pickup, delivery, or other transfer arrangements.
FarmFlow DE does not independently verify every representation made by a seller and does not certify that any seller or product complies with every applicable legal or regulatory requirement.
5. Buyer Responsibilities
Buyers are responsible for reviewing listings and determining whether products are appropriate for their intended use.
Each buyer is responsible for:
- Reviewing product descriptions and other information before purchasing.
- Asking sellers questions when additional information is necessary.
- Inspecting products at or promptly following pickup, delivery, or transfer.
- Determining whether products are suitable for the buyer's intended use.
- Following applicable food safety, storage, handling, processing, preparation, labeling, and resale requirements after receiving products.
- Maintaining any licenses, permits, registrations, certifications, or approvals required for the buyer's activities.
- Complying with applicable federal, state, and local laws.
6. Food Safety Disclaimer
FarmFlow DE provides marketplace technology and does not inspect, test, certify, manufacture, process, package, store, warehouse, transport, or guarantee the safety or quality of products listed by independent sellers.
Sellers remain responsible for the safety, legality, condition, description, handling, storage, and regulatory compliance of their products before transfer.
Buyers remain responsible for inspecting products and safely handling, storing, processing, preparing, labeling, distributing, or reselling products after transfer.
Users should immediately communicate concerns regarding damaged, contaminated, materially misrepresented, or potentially unsafe products to the other transaction party and, where appropriate, FarmFlow DE.
Nothing in these Terms eliminates responsibilities imposed on any party by applicable law.
7. Marketplace Transactions
Prices are established by individual sellers unless otherwise expressly stated.
Buyers are responsible for reviewing the total transaction amount before completing a purchase.
A seller's listing does not constitute a guarantee by FarmFlow DE regarding availability, quality, quantity, suitability, safety, or fulfillment.
FarmFlow DE may facilitate transactions but is not responsible for a user's failure to complete a transaction except to the extent caused by FarmFlow DE itself or as otherwise required by law.
8. FarmFlow DE Marketplace Fee
During the pilot, FarmFlow DE intends to charge buyers a 6% marketplace transaction fee on purchases completed through the Platform.
The marketplace fee is intended to be charged to the buyer in addition to the seller's listed product price, rather than deducted from the seller's listed price, subject to the payment configuration implemented on the Platform.
Any applicable marketplace fee will be disclosed to the buyer before the transaction is completed.
FarmFlow DE may modify its fee structure in the future. Any material change will be disclosed before it applies to future transactions.
Payment processor charges, taxes, or other amounts may also apply depending on the transaction and payment-processing arrangement.
9. Payment Processing
Payments may be processed through third-party payment providers, including Stripe and Stripe Connect.
Use of third-party payment services may be subject to additional terms, policies, verification requirements, and fees imposed by those providers.
FarmFlow DE does not directly store complete payment card information when payment information is processed by a third-party payment provider.
FarmFlow DE is not responsible for the independent acts, omissions, availability, or policies of third-party payment processors, except to the extent responsibility cannot lawfully be excluded.
10. Pickup, Delivery and Transportation
Unless FarmFlow DE expressly states otherwise for a particular service, FarmFlow DE does not transport products.
Buyers and sellers are responsible for establishing pickup, delivery, transportation, timing, location, and transfer arrangements.
The party responsible for transportation is responsible for maintaining appropriate product handling and transportation conditions and complying with applicable requirements.
11. Cancellations, Refunds and Transaction Disputes
Because products listed through FarmFlow DE may be agricultural, seasonal, harvested to order, surplus, perishable, or time-sensitive, cancellation and refund circumstances may vary.
Buyers and sellers should promptly communicate regarding transaction issues.
FarmFlow DE may assist with communication or marketplace administration but does not guarantee resolution of disputes between independent buyers and sellers.
Any refund processed through the Platform may be subject to payment processor limitations and applicable fees.
Nothing in this section limits any refund, cancellation, or other right that cannot legally be waived.
12. Prohibited Conduct
Users may not:
- Provide intentionally false or materially misleading information.
- List products they do not have the legal right to sell.
- Use FarmFlow DE for unlawful transactions.
- Misrepresent product origin, quantity, quality, condition, certification, or safety.
- Interfere with the security or operation of the Platform.
- Attempt unauthorized access to another user's account or Platform systems.
- Use the Platform to commit fraud or deceptive practices.
- Upload malicious software or harmful code.
- Use information obtained through FarmFlow DE in violation of applicable privacy or other laws.
- Engage in conduct reasonably determined to threaten the safety or integrity of the marketplace or its participants.
13. No Endorsement or Guarantee
Approval to participate in FarmFlow DE does not constitute an endorsement, certification, warranty, or guarantee of a farm, seller, buyer, organization, product, or service.
FarmFlow DE does not guarantee:
- Product quality or safety.
- Accuracy of every listing.
- Availability of products.
- Buyer or seller performance.
- Transaction volume.
- Marketplace demand.
- Financial results.
- Continuous or uninterrupted Platform availability.
Users are responsible for conducting appropriate due diligence before entering into transactions.
14. Assumption of Marketplace Risk
Users acknowledge that transactions involving agricultural and perishable products may involve risks, including variations in quality, appearance, availability, harvest conditions, shelf life, transportation, and other factors.
To the extent permitted by law, users assume the ordinary risks associated with transactions they voluntarily enter into with independent marketplace participants.
15. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
FARMFLOW DE DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.
FARMFLOW DE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR THAT EVERY LISTING OR USER REPRESENTATION WILL BE ACCURATE.
Nothing in these Terms excludes a warranty or protection that cannot lawfully be excluded.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FARMFLOW DE AND G'S DELIGHTS LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO USE OF THE PLATFORM OR TRANSACTIONS BETWEEN INDEPENDENT USERS, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, OR LOSS OF DATA.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FARMFLOW DE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF MARKETPLACE FEES PAID BY THE USER TO FARMFLOW DE DURING THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.
These limitations do not apply where liability cannot lawfully be limited or excluded.
17. Indemnification
To the extent permitted by applicable law, each user agrees to defend, indemnify, and hold harmless FarmFlow DE, G's DElights LLC, and their respective owners, officers, employees, contractors, agents, and representatives from third-party claims, liabilities, damages, losses, costs, and reasonable legal fees arising from or relating to:
- Products the user lists, sells, purchases, handles, processes, transports, distributes, or resells.
- The user's violation of applicable law.
- The user's breach of these Terms.
- Materially inaccurate or misleading information provided by the user.
- The user's infringement or violation of another person's rights.
- The user's negligent or wrongful acts or omissions.
This provision does not require a user to indemnify FarmFlow DE for claims resulting from FarmFlow DE's own conduct to the extent such indemnification would be prohibited by law.
18. Third-Party Services
FarmFlow DE may rely on third-party services including Sharetribe, Stripe, hosting providers, analytics services, communications services, and other technology providers.
Those services may be governed by their own terms and privacy practices.
FarmFlow DE is not responsible for failures or conduct of independent third-party services beyond FarmFlow DE's reasonable control, subject to applicable law.
19. Privacy
Use of FarmFlow DE is also subject to our Privacy Policy.
Users are responsible for using personal, business, and transaction information obtained through the Platform only for lawful marketplace-related purposes.
20. Pilot Data and Feedback
FarmFlow DE may analyze marketplace activity, usage patterns, transaction information, feedback, surveys, and other pilot information to evaluate and improve the Platform, subject to our Privacy Policy and applicable law.
Users may voluntarily provide suggestions, ideas, comments, or other feedback regarding FarmFlow DE.
Unless otherwise agreed in writing, FarmFlow DE may use non-confidential feedback to improve, develop, and operate the Platform without compensation or obligation to the person providing the feedback.
21. Suspension and Termination
FarmFlow DE may suspend or terminate access when reasonably necessary because of suspected fraud, unlawful conduct, safety concerns, material violations of these Terms, misuse of the Platform, or risks to users or marketplace operations.
Users may discontinue use of FarmFlow DE at any time, subject to outstanding transaction obligations.
Provisions that by their nature should survive termination will remain effective after an account is closed.
22. Changes to These Terms
FarmFlow DE may update these Terms as the pilot and Platform evolve.
When material changes are made, FarmFlow DE will provide notice as appropriate and may require users to affirmatively accept the revised Terms before continuing to use the Platform.
The effective date or last-updated date will identify the applicable version.
23. Governing Law
These Terms and disputes arising from them are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except where applicable federal law or another mandatory law controls.
Unless otherwise required by law or agreed by the parties, legal proceedings arising from these Terms or use of FarmFlow DE will be brought in a court of competent jurisdiction in Delaware.
24. Severability
If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed as appropriate, and the remaining provisions will remain in effect.
25. No Waiver
Failure by FarmFlow DE to enforce a provision of these Terms does not waive the right to enforce that provision or any other provision later.
26. Entire Agreement
These Terms, together with the Privacy Policy and any additional terms or policies expressly incorporated by reference, constitute the agreement between the user and FarmFlow DE regarding use of the Platform.
Specific written agreements between FarmFlow DE and a user may supplement these Terms.
27. Electronic Acceptance
By creating an account, checking an acceptance box, completing a transaction, or otherwise affirmatively agreeing to these Terms through the Platform, you consent to entering into this agreement electronically.
FarmFlow DE may maintain records of the version of the Terms accepted and the date and time of acceptance.

BY CREATING AN ACCOUNT OR USING FARMFLOW DE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO THESE TERMS OF USE.
